ROYALIGN — SERVICE AGREEMENT

This agreement ("Agreement") is entered into between Royalign ("we," "us") and the artist or rights holder submitting this form ("you," "Client"). By checking the box below and submitting this form, you agree to the following terms.

1. Services
Royalign will conduct a royalty audit of Client's registered accounts across Performance Rights Organizations (PROs), SoundExchange, digital distributors, and publishing administration services. We will identify gaps, errors, unregistered works, and unclaimed royalty streams, and deliver a written report with recommended action steps.

2. Compensation
Royalign's fee is 15% of any royalties recovered or newly routed as a direct result of actions taken during or following the audit. "Recovered royalties" refers to income received by Client within a 12-month window following delivery of the audit report that is directly attributable to corrections, registrations, or claims made as a result of Royalign's work.

3. No Upfront Cost
Client owes no upfront payment. If no recoverable royalties are identified, no fee is owed.

4. Payment Terms
Client agrees to remit Royalign's 15% fee within 30 days of receiving recovered royalty payments. Client agrees to notify Royalign in good faith upon receipt of royalties attributable to audit findings.

5. Client Responsibilities
Client agrees to provide accurate information, export and share relevant account statements and documentation as directed by Royalign, and respond to reasonable requests in a timely manner.

6. Confidentiality
Royalign agrees to keep all Client account information, financial data, and materials strictly confidential and to use them solely for the purpose of conducting the audit.

7. No Guarantee
Royalign does not guarantee the recovery of any specific amount of royalties. Results depend on Client's individual registration status, catalog, and distribution history.

8. Governing Law
This Agreement shall be governed by the laws of the State of Tennessee.

I have read and agree to the Royalign Service Agreement. I understand that Royalign will receive 15% of any royalties recovered as a result of this audit, payable within 30 days of receipt.
